VP of Compliance and Counsel

Brendan serves as in-house counsel and a VP of Compliance with over thirteen years of regulatory compliance experience, with a focus on compliance program design and implementation for financial services and investment firms.

As a member of the Compliance and Legal department of American Student Assistance, one of Brendan’s primary responsibilities was to manage the compliance and audit preparation for the organization’s $400 million consumer loan program. Specifically, he developed a comprehensive compliance, procurement and contract administration system, which ensured business processes were properly documented, external vendors were properly vetted, and tested against regulatory and security requirements in order to identify gaps and potential risks. Brendan then documented risks and, working with risk committees and the Board of Directors, created plans to eliminate or mitigate risks.

Brendan’s responsibilities also included drafting, negotiating, and administering contracts for vendor services, software licenses, hardware and equipment leases, government contracts, telecommunications and IT related contracts. Brendan is also a subject matter expert on privacy statutes, rules and regulations, advising on federal and state privacy rules, NIST standards and cybersecurity matters.

Before joining American Student Assistance, Brendan implemented a compliance program with Key Bank’s Education Financing division designed to fully identify customers, ensure the legality of asset and monetary facilities, and resolve any red flags that may arise. This program allowed the bank to certify compliance on numerous securitizations and secondary market offerings.

Brendan has a Bachelor of Arts in Communications and Philosophy from the University of Delaware and a JD from Suffolk University Law School where he attended the evening program while working full ­time at American Student Assistance.

Brendan is a licensed attorney with the Commonwealth of Massachusetts.
